These Terms and Conditions and our Privacy Policy (together with all and any other documents it refers to) constitute a legally binding Agreement between you and Share LV (the SHARE LV) and govern your access to and use of Share LV’s Platform as a Member (the “Share LV Platform”), including any sub-domains thereof. Please read these Terms of Service carefully as they contain important information about your legal rights, remedies, and obligations.

By making an account on the Share LV Platform and by clicking to accept the Terms and Conditions when prompted on the Share LV Platform on your respective electronic device, you are deemed to have entered into an Agreement with us on these Terms and Conditions and all our Policies. Your Account registration constitutes an acknowledgment that you are able to electronically receive, download, and print all of our Terms and Conditions and Policies. Please read these Terms and Conditions carefully as they contain important information about your legal rights, remedies, and obligations. By accessing and using our Share LV Platform, you agree to comply with and be bound by these Terms and Conditions.

Our Share LV Platform is operated by Share LV Limited (“Share LV”, “we”, “our” or “us”). We are a limited company registered in England and Wales under company number10523456. Our registered office address is 20-22 Wenlock Road, London, England, N1 7GU.

OUR SHARE LV PLATFORM

The Share LV Platform is an information and advice platform on human behavior, interaction and communication where professional advice, counseling, consulting and any other information are provided (collectively, the “Advisor services”). The Share LV Platform enables its Members, (“You” or “Member/s”) to communicate through chatting, with professional advisors (“Advisors”) that support the users and may help them get a better insight regarding their inner self, behavior, relationships, the others and the world around them (“Advisor Services”).

Through the Share LV Platform, you can do the following:

Use of Share LV’s chat system. Our chat system enables you to instantly chat text with professional Advisors, anytime from wherever you are, and you will be able to acquire advice, consulting, counseling and other information at any given time. Depending on your membership and your needs, you can make use of your time as you wish. We recommend reading the membership options carefully before you buy your membership and agree to these Terms and Conditions
Pre-book Advisor Services with specific Advisors
Meet new people and other members. Get peer support
Post your ideas, thoughts or concerns
Attend group sessions, webinars, and lectures
Participate in forums with other members and/or Advisors on specific topics. Create your own topics
Participate in group sessions with a leader/Advisor or in group discussions with other members/users or create your own group on topics that interest you
Watch and/or participate online lectures or seminars on topics that interest you (psychology, philosophy, literature, arts etc);
Use our online library of selected articles, books and other media on social sciences, arts, and humanities (psychology, poetry, painting, literature, music, philosophy, etc);
Find poems, books, paintings, films or other forms of art; (?)

We do not endorse, nor recommend any Advisors or any of the Advisor Services. We further have no control over and we do not guarantee:

the existence, quality, safety, suitability, or legality of any of the Advisors
the performance, professionalism, or conduct of any Advisor, including but not limited to, the reliability, willingness, ability, usefulness, correctness, the effectiveness of any Advisor
the accuracy or validity of any content, information or advice

YOUR PRIVACY

We know your personal information is important to you, so it is important to us. Our Privacy Policy details how your information is used when you use our Share LV Platform. Our Share LV Platform’s Privacy policy is also a part of our Terms, so please read it here https://sharelv.org/privacy/. By using our Share LV Platform, you consent to our processing of your personal information as described in our Privacy Policy, and you warrant that all data provided by you is accurate.

CREATING YOUR ACCOUNT PROFILE WITH US

You have to create an Account (“Share LV Account”) to be able to use certain features of the Share LV Platform. To create your Share LV Account, you must register for the Share LV Platform with your name (or username) and an email address (Sign Up). The Sign Up will enable you to have a Member Account. After signing up, you must choose either of the following Membership Options: Simple, Premium and VIP. Each Membership’s prices and services included are outlined at the Share LV Platform, before and during Sign Up.

All Memberships shall expire after one month. We will let you know of such expiration by sending an email to the email address provided. Upon expiration, you may renew your Membership. You may upgrade your Membership at any time. You can downgrade your membership provided that your current Membership expires first.

In order to register a Share LV Account, you may be required to provide us with your Paypal account details to deduct payments from you to undertake payments for the Membership you have chosen for your Member Account. Share LV cannot be held responsible for any incorrect payment. You are responsible for making sure the data provided is correct and accurate for payment processing for your Membership.

You must be at least 18 years old and able to enter into legally binding contracts to access and use the Share LV Platform or register a Share LV Account. By accessing or using the Share LV Platform you represent and warrant that you are 18 or older and have the legal capacity and authority to enter into a contract.

By creating and registering a Share LV Account, you further represent and warrant that your use of the Share LV Platform shall at all times be in compliance with these Terms and Conditions any and all applicable laws and regulations. By failing to do so, we reserve the right to suspend or immediately delete your account without notice.

You should not register more than 1 Share LV Account. You may not assign or otherwise transfer your Share LV Account to another person.

You are responsible for your Share LV Account and for any activity on your Share LV Account unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials). You are not permitted to share your Share LV Account with other people.

It is important to keep your account password and any device from which you access the Share LV Platform secure. You are responsible for maintaining the confidentiality and security of your Share LV Account credentials and may not disclose your credentials to any third party. You must immediately notify Share LV if you know or have any reason to suspect that your credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorized use of your Share LV Account.

USING THE SHARE LV PLATFORM

Depending on your membership, the creation of a Member Account will enable you to access to features of the Share LV Platform, search for Advisors, acquiring them for Advisor Services, book your minutes or hours in advance with a certain Advisor after your discussion with the said Advisor; participate in Forums, Groups, Lectures, Seminars when or if available; create Groups or Forums, invite other users to the Share LV Platform; have access to our Terms and Conditions and Privacy Policy, as amended from time to time; conduct electronic payment for your Membership and or any other services provided; and leave feedback or rating for an Advisor. You understand, confirm, acknowledge and agree that:

The use of the Share LV Platform does not provide or offer any mental or mental medical service or any other sort of medical services, nor Share LV provides or offers any such mental medical service or any other sort of medical services; nor prescribing any kind of medication;
Share LV only offers the environment that facilitates the contact and communication between members and advisors;
The use of the Share LV Platform shall not be in any way regarded as mental medical care and/or mental care and/or any other sort of medical care; or a means of diagnosing any sort of mental/other or medical condition, nor shall be considered a substitute for such mental or other medical care and/or any sort of medical condition;
Share LV does not provide in any way mental medical care and/or mental care and/or any other sort of medical care; or a means of diagnosing any sort of mental/other or medical condition, nor shall be considered a substitute for such mental and/or other medical care or any sort of medical condition;
Share LV or any of the Advisors do not subscribe any medication whatsoever;
Any contact you make with any Advisor and/or any of Share LV’s administrators does not substitute physical and/or actual examination, including but not limited to face to face examination, and
Share LV is not responsible for you not contacting, advising or arranging a face to face meeting with a qualified medical or mental professional because of any service, advice or information that you squired through the platform.

When using any kind of our Services, you must comply with any requirements as directed by Share LV. You acknowledge and understand and specifically, you further agree and confirm:

To use and access the Share LV Platforms in accordance with the Terms and Conditions. Any problem concerning a technical issue regarding a Member’s internet service provider is not Share LV’s responsibility
To be solely responsible for assessing the suitability for your needs, and quality of the Advisors and verifying the accuracy of their stated credentials, expertise, references, descriptions, licensee, and qualifications.
Not to act as an agent to promote the services or opportunities of a company;
Not to create a Member Account on behalf of a company;
Not to publish any abusive comments about an Advisor or another Member of the Share LV Platform or any other place including defamatory or derogatory comments.

You guarantee that you will access the Share LV Platform for lawful purposes and you are thus solely responsible for the knowledge of and adherence to any and all laws, rules, and regulations pertaining to the use of the Services

We allow access to our Share LV Platform on a temporary basis and we reserve the right to withdraw, restrict or change our Share LV Platform at any time and without notice. We will not be liable if for any reason the Share LV Platform is unavailable at any time or if the content is changed or out of date.

You are solely responsible to comply with all laws, rules, regulations, and Tax obligations that may apply to your use of our Share LV Platform. We thus grant you a limited, non-exclusive, non-transferable and revocable license to use our Share LV Platform subject to the following restrictions:

You will not violate any laws in connection with your use of the Share LV Platform or otherwise violate or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms and Conditions and Policies. This includes any local, national and international laws that may apply to you
You will not use the Share LV Platform for any other purposes not expressly permitted by these Terms and Conditions.
You will not use the Share LV Platform in a manner that falsely implies an endorsement, partnership or any other sort of affiliation with Share LV.
You are responsible for paying any fees or subscription payments that you owe to Share LV. You are also solely responsible for collecting and/or paying any applicable taxes for any purchases or sales you make through our Share LV Platform.
You will not copy, store or otherwise access or use any information, including personally identifiable information about any other User contained on the Share LV Platform in a way that should be deemed inconsistent with our Terms and Conditions and Privacy Policy, or in a way that violates any other User’s Privacy Rights.
You will not use the Share LV Platform to request, make or accept an Advisor Services independent of our Share LV Platform, to circumvent any of our Membership Fees or request, accept or make any payment for the Advisor Services Fees outside our Share LV Platform.
You will not use the Share LV Platform in connection with the distribution of unsolicited commercial messages (“spam”).
You must conduct any activity/action that may discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any abusive or disruptive behaviour or in any other way violate or infringe anyone else’s rights or otherwise cause harm to anyone.
You agree not to “crawl,” “scrape,” or “spider” any aspect of the Share LV Platform or to decipher, decompile, disassemble, reverse engineer or otherwise attempt to obtain the source code of the Share LV Platform or otherwise take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Share LV Platform.
You shall not misuse any part of the Share LV Platform by knowingly introducing any material which is malicious or technologically harmful.
You must not attempt to gain unauthorized access to the Share LV Platform, the server on which any of the Share LV Platform is stored or any server, computer or database connected to the Share LV Platform.
You must not attack the Share LV Platform via a denial-of-service attack or a distributed denial-of-service attack.
You will not interfere with or try to disrupt the Share LV Platform, for example by distributing a virus or other harmful computer code.
You must avoid bypassing, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Share LV or any of Share LV’s providers or any other third party to protect the Share LV Platform.
Share LV and other marks, phrases, logos, and designs that we use in connection with our Share LV Platform are trademarks, service marks or trade dress of Share LV in the UK and other countries. You require our express written permission to use our trademarks, service marks or trade dress.
You must not dilute, tarnish or otherwise harm Share LV in any way, including through unauthorised use of Share LV Platform or its derivative terms in domain names, trade names, trademarks or other source identifiers, or register and/or using domains names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to our Share LV Platform domains, trademarks, taglines or promotional campaigns.

We may provide you with certain legal information in writing. By using our Share LV Platform, you agree that we may provide you information electronically (by email, etc.) instead of mailing you paper copies, and that your electronic agreement is equal to your signature on paper.

We have no obligation to monitor the access to or use of the Share LV Platform by any user or to review, disable access to, or edit any User Content. Without prejudice to the foregoing, we hereby reserve the right to do so for the following reasons:

To operate, secure and improve our Share LV Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes);
To ensure your compliance with these Terms and Conditions;
To comply with all applicable laws or an order or requirement provided by a court of law, law enforcement or other administrative agency or governmental body; or
To respond to User Content that is deemed harmful or objectionable.

You hereby agree to cooperate with and assist us in good faith and to provide us with such information and take such actions as may be reasonably requested by us with respect to any investigation undertaken regarding the use and possible abuse of the Share LV Platform. If you feel that any User you interact with, whether online or in person, is acting or has acted inappropriately, you should immediately report such person to the appropriate authorities and then to Share LV by contacting us with your police station and report number (if available); provided that your report will not obligate us to take any action beyond that required by law (if any) or cause us to incur any liability to you.

RELATIONSHIP BETWEEN MEMBERS AND ADVISERS

You acknowledge that when you acquire the Advisor Services using the Share LV Platform, your relationship with the Advisors is with such Advisors only. Share LV is not a party or is in anyway involved to any relationship between Members and Advisors for the provision of the Advisor Services, or with the actual substance of that relationship or any part of the Advisor Services (whether provided through the Share LV Platform or not), and we do not validate or getting involved in any of the Advisor Services. Share LV shall only be responsible for the facilitation of payments to the Advisors from Members. Share LV shall have no liability of any kind for any dispute between a Member and an Advisor with regards to their relationship. In addition:

Share LV acts only to facilitate communication between Members with other Members and/or Advisors and offers the environment where the Advisor Services and other services can take place.
The Advisors are not employees nor agents nor representatives of Share LV. With regards to the provision of the Advisor Services, Share LV only facilitates payment to Advisors from Members;
Share LV does not provide any of the Advisor Services;
Share LV makes the Share LV Platform available to enable Advisors to identify and determine the suitability of Members for themselves and to enable Members to identify and determine the suitability of Advisors for themselves. Share LV does not, in any way, supervise, direct, is involved, responsible or control Advisor or Advisor’s work, act or doing.
Share LV does not set Advisor’s work hours or work schedules.
Share LV is not responsible nor guarantees that any Advisor will comply with all of Share LV’s Terms and Conditions.
Share LV does not provide Advisor with training or any equipment, labor, or materials needed for a particular Advisor Service.
Share LV does not provide the premises at which the Advisor will perform the Advisor Services.
Share LV makes no representations about, and does not guarantee the quality, safety, or legality of, the Advisor Services;
Share LV makes no representations or verification or guarantee of any qualifications, background, identities, skills, degrees, licenses, certification, credentials, the competence of the Advisors, or the ability of the Advisors to deliver the Advisor Services.
Share LV does not warrant or guarantee the accuracy or validity of any user content or advice as well as any content reliability or the willingness, ability, usefulness, correctness, effectiveness, of any Advisor or service provided.

We do not endorse any Member, or Advisor or any Advisor Services. Any references to a Member or Advisor being “verified” (or similar language) only indicates that the Member or Advisor has completed Share LV Account verification or identification process and nothing else. Any such description is not an endorsement, certification or guarantee by Share LV about any Member or Advisor including the Member’s or Advisor’s identity or background or whether the Member or the Advisor is trustworthy, safe or suitable.

You should always exercise due diligence and care when deciding whether to use any of our services or communicate and interact with other Members using the Share LV Platform. Furthermore, it is in your sole responsibility and risk whether you decide to make use of any of the Advisor or other services provided by the platform or not, and It is up to you to consider and decide whether these services are appropriate for you or not. SHARE LV will not be liable for any damages sustained by a member due to reliance on any such use.

MEMBERSHIP FEES AND PAYMENTS

Share LV may charge fees to Members upon creation of a Membership (“Membership Fees”). Share LV charges such fees to facilitate the payment of any Advisor or Advisors where you have acquired Advisor Services. Any applicable Membership fees (including any applicable Taxes) will be displayed to a Member during Sign Up. Share LV reserves the right to change the Membership Fees at any time, and we will provide Members adequate notice of any fee changes before they become effective.

Any and all payment processing services through or in connection with your use of the Share LV Platform are provided to you by Paypal. Paypal allows and assists our Share LV Platform to deliver, hold, or receive payment for a Membership. Paypal shall have a direct contractual relationship with you based on your respective Share LV Account and shall provide its services directly to you.

Membership Fees are non-refundable.

RATINGS AND FEEDBACK

Within a certain timeframe after acquiring Advisor Services, you can leave feedback or rating for Advisors. Such feedback and rating reflect the opinion of each Member of the Share LV Platform and do not reflect the opinion of Share LV on any job, act, doing, effectiveness or professionalism of any of the Advisors. Any Feedback provided is not verified by Share LV for accuracy and may be incorrect or misleading. Share LV is not required to verify any feedback or information given to us by Members, nor does Share LV perform background checks on Advisors. Share LV does not verify the truth or accuracy of any descriptions, Ratings, Reviews, or other content related to either a Member or an Advisor.

All Feedbacks provided must be fair, truthful and factual and may not contain any offensive or defamatory language. You shall not manipulate the Feedback system in any manner, such as instructing a third party write a positive or negative Review about another Advisor.

All Feedback provided is based solely on data that Advisors or Members voluntarily submit to Share LV and does not constitute and will not be construed as an introduction, endorsement, or recommendation by Share LV; Share LV provides such information solely for the convenience of Members.

THIRD PARTY SERVICES

Our Share LV Platform may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services may be subject to different terms and conditions and privacy practices. Share LV is not responsible or liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services. Links to such Third-Party Services are not an endorsement by Share LV of such Third-Party Services.

Due to the nature of the Internet, Share LV cannot guarantee the continuous and uninterrupted availability and accessibility of the Share LV Platform. Share LV may restrict the availability of the Share LV Platform or certain areas or features thereof if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Share LV Platform. Share LV may improve, enhance and modify the Share LV Platform and introduce new services from time to time.

To promote our Share LV Platform, User Content may be displayed on other websites, in applications, within emails, and in online and offline advertisements. To assist current and potential users who speak different languages, User Content may be translated, in whole or in part, into other languages. Share LV cannot guarantee the accuracy or quality of such translations and you are responsible for reviewing and verifying the accuracy of such translations. The Share LV Platform may contain translations powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose and no infringement.

During use the Share LV Platform, you may purchase goods and services from third-party merchants. Any such activity, and any disputes, terms, conditions, warranties or representations associated with that activity, is solely between you and the applicable third party. Share LV and its licensors shall have no liability, obligation or responsibility for any purchase or transaction between you and any third-party provider. In no event shall Share LV or its licensor be responsible for any content, products, services or other materials on or available from third-party sites or third-party providers. Certain third-party providers of goods and/or services may require your agreement to additional or different terms and conditions prior to your use of or access to such goods or services, and Share LV disclaims any and all responsibility or liability arising from such agreements between you and a third party.

ACCESSING THE SERVICES

Certain functions of the Services will require an active internet connection. The connection can be Wi-Fi or provided by a mobile network provider, but Share LV cannot take responsibility for the Share LV Platform not working at full functionality if you do not have access to an active internet connection. In using the Services and the Share LV Platform, you accept responsibility for any charges incurred for the cost of data for the duration of the connection while accessing the Services, or other third party charges, including roaming data charges.

UPDATES TO THE SHARE LV PLATFORM

The requirements for the Share LV Platform’s systems (and for any additional systems we decide to extend the availability of the Share LV Platform to) may change, or may be subject to maintenance or update the Share LV Platform. We do not promise to always update the Share LV Platform so that it is relevant to your position taken as a Member or that it will always be accessible. However, you agree to always accept updates to the Share LV Platform when offered to you and to any maintenance that we may undertake on the Share LV Platform. We shall not be held responsible for any disruption of the site arising from such maintenance and/or updates to the Share LV Platform.

INTELLECTUAL PROPERTY RIGHTS

The Share LV Platform, any content that Share LV itself makes available on or through the Share LV Platform, including proprietary content and any content licensed or authorized for use by or through Share LV from a third party (“Share LV Content”) and User Content may in its entirety or in part be protected by copyright, trademark, and/or other laws of the United Kingdom and other countries. You acknowledge and agree that the Share LV Platform and Share LV Content, including all associated intellectual property rights, are the exclusive property of Share LV and/or its licensors or authorizing third-parties. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Share LV Platform, Share LV Content or User Content. All trademarks, service marks, logos, trade names, and any other source identifiers of Share LV used on or in connection with the Share LV Platform and Share LV Content are trademarks or registered trademarks of Share LV in the United Kingdom and abroad. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the Share LV Platform, Share LV Content, and/or User Content are used for identification purposes only and may be the property of their respective owners. All such rights are reserved.

You must not use any part of the Share LV Platform for commercial purposes without a license from us or our licensors. You may not reproduce in any format (including on another website or mobile app) any aspect of the Share LV Platform (including content, images, designs, look and feel) without our prior written consent. You will not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Share LV Platform or Share LV Content, except to the extent you are the legal owner of certain User Content or as expressly permitted in these Terms. No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by Share LV or its licensors, except for the licenses and rights expressly granted in these Terms.

We hereby grant you a limited license to access and, if you have created an Account, use the Share LV Platform. You must not access (or attempt to access) our Share LV Platform by any means other than the interface provided, and you will not use information from the Share LV Platform for any purposes other than the purposes for which it was made available. You must not reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost, or otherwise use any content of the Share LV Platform for any purpose without our permission. You must further not attempt to reverse engineer, modify, adapt, translate, prepare derivative works from, decompile, attempt to interfere with the operation of, or otherwise attempt to derive source code from any part of the Share LV Platform. You will not access the Share LV Platform in order to build a similar service or application, or publish any performance, or any benchmark test or analysis relating to the Share LV Platform.

If in our opinion, you are in breach of these provisions, your right to use the Share LV Platform will cease immediately and you must either return or destroy (as required by us) any copies of the materials you have made.

USER CONTENT

Share LV may, at its sole discretion, enable Users to create, upload, post, send, receive and store content, such as text, blogs, articles, photos, audio, video, or other materials and information on or through the Share LV Platform (“User Content”). By creating, uploading, posting, sending, receiving, storing, or otherwise making available any User Content on or through the Share LV Platform, you grant to Share LV a non-exclusive, worldwide, royalty-free, irrevocable, perpetual (or for the term of the protection), sub-licensable and transferable license to such User Content to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such User Content to provide and/or promote the Share LV Platform, in any media or platform. Unless you provide specific consent, Share LV does not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict any rights that you may have to use or exploit your User Content.

You are solely responsible for all User Content that you make available on or through the Share LV Platform. Accordingly, you represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available on or through the Share LV Platform or you have all rights, licenses, consents and releases that are necessary to grant to Share LV the rights in and to such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or Share LV’s use of the User Content (or any portion thereof) will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

We take intellectual property rights very seriously and are committed to following appropriate legal procedures to remove infringing content from the Engagement Contract. If content that you own or have rights to has been posted to the Share LV Platform without your permission and you want it removed, please contact us at the email below. If Your Content infringes another person’s intellectual property, we will remove it if we receive proper notice. If any third-party claims that any material posted or uploaded by you to the Share LV Platform violates their intellectual property rights or their right to privacy, we have the right to disclose your identity to them. We’ll notify you if that happens.

You will not post, upload, publish, submit or transmit any User Content that: (i) is fraudulent, false, misleading (directly or by omission or failure to update information) or deceptive; (ii) is defamatory, libellous, obscene, pornographic, vulgar or offensive; (iii) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (iv) is violent or threatening or promotes violence or actions that are threatening to any other person; (v) promotes illegal or harmful activities or substances. Share LV may, without prior notice, remove or disable access to any User Content that Share LV finds to be in violation of these Terms and Conditions or otherwise, may be harmful or objectionable to Share LV, its Users, third parties, or property.

MODIFICATION OF THESE TERMS

Share LV reserves the right to modify these Terms at any time in accordance with this provision. If we make changes to these Terms, we will post the revised Terms on the Share LV Platform and update the “Last Updated” date at the top of these Terms. We will also provide you with notice of the modifications by email at least thirty (30) days before the date they become effective. If you disagree with the revised Terms, you may terminate this Agreement with immediate effect. If you do not terminate your Agreement before the date the revised Terms become effective, your continued access to or use of the Share LV Platform will constitute acceptance of the revised Terms.

ΤERMINATION OR SUSPENSION AND OTHER MEASURES

You may terminate this Agreement at any time via the “Delete Account” feature on the Share LV Platform. If you cancel your Share LV Account, any accepted Advisor Services will be automatically canceled. Without limiting our rights specified below, Share LV may terminate this Agreement for convenience at any time by giving you thirty (30) days’ notice via email to your registered email address.

Share LV may immediately, without notice terminate this Agreement if:

you have materially breached your obligations under these Terms, the Payments Terms, our Policies or Standards,
you have violated applicable laws, regulations or third party rights,
Share LV believes in good faith that such action is reasonably necessary to protect the personal safety or property of Share LV, Members, Advisors, or third parties (for example in the case of fraudulent behavior of a User),
you provided us false or misleading information, or
your actions may cause legal liability for you or other Members or Advisors or Share LV.

In addition, Share LV may take any of the following measures (i) to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, (ii) if you have breached these Terms and Conditions, (iii) you have provided inaccurate, fraudulent, outdated or incomplete information during the Share LV Account registration (iv) Share LV believes in good faith that such action is reasonably necessary to protect the personal safety or property of Share LV, the Share LV Platform’s users, any third parties, or to prevent fraud or other illegal activity:

cancel any pending or confirmed Advisor Services;
limit your access to or use of the Share LV Platform;
temporarily or permanently revoke any special status associated with your Share LV Account; or
temporarily or in case of severe or repeated offenses permanently suspend your Share LV Account.

In case of non-material breaches and where appropriate, you will be given notice of any intended measure by Share LV and an opportunity to resolve the issue to Share LV’s reasonable satisfaction.

On termination of your Account, you are not entitled to a restoration of your Share LV Account or any of your User Content. If your access to or use of the Share LV Platform has been limited or your Share LV Account has been suspended, you may not register a new Share LV Account or access and use the Share LV Platform through a Share LV Account of another User.

The clauses of these Terms that reasonably should survive termination of the Agreement will remain in effect.

WARRANTY DISCLAIMER

Share LV makes no representation or warranty or provide any guarantee whatsoever for any of the following:

the accuracy, or availability of the Share LV Platform
the accuracy or the validity of any content posted on the Share LV Platform, including, without limitation to, any post, forum message, comment, User Content, description, advice, articles or any other form of the content herein;
the accuracy or the validity of any statement, advice or message provided by any Advisor using the Share LV Platform, or during the provision of any Advisor Services;
any act, omission, opinion, response, advice, suggestion, information and/or service of any mental health or other professional or any other provider in a field requiring licensure and/or certification, who may be accessed through the Share LV Platform.
the willingness or ability of any of the Advisors to provide their Advisor Services
whether the Member shall find any of the Advisor’s Advisor Services useful, satisfactory, accurate, relevant or helpful
whether the Advisor’s Services will otherwise be suitable to the Member’s needs.

Share LV does not endorse, recommend, verify, evaluate, review, warrant or guarantee the qualifications, expertise, licenses, claims, effectiveness or background of any advisor including but not limited to any opinion, response, act, advice, suggestion, prediction, recommendation, information or other service provided by any advisor. Nothing contained in these Terms and Conditions shall be considered as a referral, endorsement, recommendation, verification, warranty or guarantee with respect to any Advisor or any opinion, response, advice, prediction, recommendation, information or other service provided by any advisor during the provision of the Advisor Services or the validity, accuracy, availability, completeness, safety, legality, quality, security, privacy or applicability of any content or anything otherwise said or written by any Advisor, through the Share LV Platform or not, including any biographical information, qualifications, or other information spoken by any advisor or contained in or made available on the Share LV Platform, the Share LV Platform, any site, any blog/library or any other forum, or group.

The Share LV Platform may include content posted by Share LV, or may facilitate features which allow Members or Advisors to post, without limitation to, questions, to Advisors or other Members regarding various topics and allow Advisors or Members to volunteer answers to such questions, or any posts, opinions, statements, or any other sort of content. Such content includes the opinion of the writer only and does not represent anything more than the writer’s opinion on the content. We are thus not to be held responsible for any reliance on such content. As noted, Share LV does not warrant the validity, accuracy, or availability of any content or advice provided. We will not be liable for any damages sustained by a member due to reliance on any such information or advice.

Information furnished by Share LV or any other user is intended for general information purposes only. We hereby disclaim any responsibility for any reliance on such information. In addition, we do not warrant the validity, accuracy, or availability of any information provided and as such, we will not be liable for any damages sustained due to reliance on any such information.

Any consultation, counselling, advice, or any other information gained from an advisor via the Share LV Platform cannot and does not replace a meeting or a face to face meeting with a professional mental, medical or other advisor or professional, the grant of medical diagnosis, a provision of any medical services, the prescription of any medicine or any other services, either medical or otherwise. Members are encouraged to verify the information furnished by advisors. Any reliance on such information is done at the member’s full and sole risk and liability.

If you are thinking about suicide, or if you feel that you may be a danger to yourself or to others or if you otherwise have any medical emergency, please immediately call the relevant emergency number in your country and notify the police or emergency medical services.

You further agree that:

The use of the Share LV Platform does not provide or offer any mental or mental medical service or any other sort of medical services; nor Share LV provides or offers any such mental, or mental medical service or any other sort of medical services; nor prescribing any kind of medication;
Share LV only offers the environment that facilitates the contact and communication between Members and Advisors;
The use of the Share LV Platform shall not be in any way regarded as mental medical care and/or mental care and/or any other sort of medical care; or a means of diagnosing any sort of mental/other or medical condition, nor shall be considered a substitute for such mental or other medical care and/or any sort of medical condition;
Share LV does not provide in any way mental medical care and/or mental care and/or any other sort of medical care; or a means of diagnosing any sort of mental/other or medical condition, nor shall be considered a substitute for such mental and/or other medical care or any sort of medical condition;
Share LV or any of the Advisors do not subscribe any medication whatsoever;
Any contact you make with any Advisor and/or any of Share LV’s administrators does not substitute physical and/or actual examination, including, but not limited to, a face to face examination; and
Share LV is not responsible for you not contacting, advising or arranging a face to face meeting with a qualified medical or mental professional because of any service, advice or information that you squired through the platform.
If you choose to use the Share LV Platform or Share LV or other User Content, you do so voluntarily and at your sole risk. The Share LV Platform is provided “as is”, without warranty of any kind, either express or implied.
You agree and confirm that you have had whatever opportunity you deem necessary to investigate the Share LV Platform, our Terms, and Conditions and all applicable laws, rules, or regulations and that you are not relying upon any statement of law or fact made by Share LV relating to the Share LV Platform.
If we choose to conduct identity verification or background checks on any Member or Advisor to the extent permitted by applicable law, we disclaim all representations orwarranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or Advisor or guarantee that a Member or Advisor will not engage in misconduct in the future
You agree that some Advisor Services may carry inherent risk, and by engaging in such Advisor Services, you choose to assume those risks voluntarily. For example, some Advisor Services may carry, without limitation, the risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to engage in the Advisor Services. You assume full responsibility for the choices you make before, during and after your engagement in an Advisor Services or any other service.

The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.

LIMITATION OF LIABILITY

You expressly acknowledge, confirm, agree, and understand that:

Our Share LV Platform is merely a Platform for users to interact with each other either as Members or Advisors;

We are not in any way involved, neither we are party to any engagement contract between Members and Advisors;

We have no liability or obligations under or related to engagement contracts for any acts, doing, service or omissions by you, the Advisors or other users;

You take full and sole responsibility for any risk and/or decision you make when you acquire any Advisor Services.

We make no representations, warranties, as, including but not limited. to the reliability, capability, or qualifications of any Advisor or the quality, security, or legality of any user or an Advisor’s services. We hereby disclaim any and all liability relating thereto.

In addition to the recognition Share LV not being a party to Advisors and Members engagement, you hereby release us of every kind and nature, known and unknown, arising out of or in any way connected with any dispute you have with any Advisor or Member, whether it be at law or in equity.

The Share LV Platform is provided for you to act under it without any guarantees, conditions or warranties by us, as to their accuracy or functionality. To the extent permitted by law, we hereby expressly exclude:

All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.
Any liability for any direct, indirect or consequential loss or damage incurred by any Member or Advisor in connection with our site, or in connection with the use, inability to use, or results of the use of our Share LV Platform, any websites linked to it and any materials posted on it (whether by us or a third party), including, without limitation any liability for: loss arising out of incurrence of health and/or mental health decease and/ injury; loss of income or revenue; loss of business; loss of profits or contracts; loss of anticipated savings; loss of data; loss of goodwill; wasted management or office time; and for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

INDEMNIFICATION

You agree to release, defend (at Share LV’s option), indemnify, and hold Share LV and its affiliates and subsidiaries, including but not limited to their officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Terms and Conditions (ii) your improper use of the Share LV Platform or any of our Services or Advisor Services, (iii) your interaction with any User or Advisor, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, stay, participation or use, or (iv) your breach of any laws, regulations or third party rights.

ENTIRE AGREEMENT

These Terms and Conditions, including all of the other documents that make up the Terms, supersede any other agreement between you and Share LV regarding the Share LV Platform. If any part of the Terms is found to be unenforceable, that part will be limited to the minimum extent necessary so that the Terms will otherwise remain in full force and effect. Our failure to enforce any part of the Terms is not a waiver of our right to later enforce that or any other part of the Terms.

CHANGES TO THE TERMS

We may amend the Terms and Conditions at any time by amending this page or, if we believe the changes are material, we will let you know by i) notifying you via the Share LV Platform, or ii) sending you an email or messages about the changes. You are responsible for reviewing and becoming familiar with any changes. Your use of the Engagement Contract following the changes constitutes your acceptance of the updated Terms.

GENERAL PROVISIONS

These Terms and Conditions do not and are not intended to confer any rights or remedies upon any person other than the Members as users of the Share LV Platform.

If any provision of these Terms and Conditions is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

Share LV’s failure to enforce any right or provision in these Terms and Conditions will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Except as expressly set forth in these Terms and Conditions, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without Share LV’s prior written consent. Share LV may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice. Your right to terminate this Agreement at any time remains unaffected.

Unless specified otherwise, any notices or other communications to Users permitted or required under this Agreement, will be in writing and given by Share LV via email.

JURISDICTION AND APPLICABLE LAW

The English courts will have exclusive jurisdiction over any claim arising from or related to, a visit to our site. These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Share LV Platform. You may submit such feedback by emailing us, through the “Contact” section of the Share LV Platform, or by other means of communication. Any feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.
